1. Acceptance of Terms

By accessing or using the services provided by Cumulus Consulting and Trading Limited ("CCT LTD", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

CCT LTD provides custom mobile and web application development services, including but not limited to:

• Mobile application development (iOS and Android)
• Web application development
• Full-stack development services
• UI/UX design services
• Software consulting and technical advisory
• Ongoing maintenance and support

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to our communications in a timely manner
• Make payments according to the agreed schedule
• Provide necessary access to systems, accounts, and materials required for development
• Review and approve deliverables within specified timeframes
• Comply with all applicable laws and regulations in your use of our services

4. Intellectual Property Rights

4.1 Client-Owned Materials

All materials, content, trademarks, and intellectual property provided by you remain your exclusive property.

4.2 Developed Materials

Upon full payment of all fees, you will own the custom code and designs created specifically for your project. However, CCT LTD retains ownership of:

• Pre-existing intellectual property and tools
• Reusable code libraries and frameworks
• General methodologies and processes
• Any materials created before or independent of your project

4.3 Portfolio Rights

Unless otherwise agreed in writing, CCT LTD reserves the right to showcase completed projects in our portfolio and marketing materials.

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Projects require an upfront deposit before work begins
• Milestone payments may be required for larger projects
• Final payment is due upon project completion
• Late payments may incur interest charges
• All prices are in the currency specified in the agreement
• Prices do not include applicable taxes unless stated otherwise

6. Project Timeline and Deliverables

Project timelines are estimates based on the scope defined at project commencement. Timelines may be affected by:

• Changes in project scope or requirements
• Delays in client feedback or approval
• Unavailability of required third-party services or APIs
• Force majeure events

We will make reasonable efforts to notify you of any anticipated delays and work to minimize their impact.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. However:

• We do not guarantee that software will be error-free or uninterrupted
• We are not responsible for issues caused by third-party services or platforms
• We do not warrant compatibility with all devices, browsers, or future platform updates
• Performance may vary based on hosting environment and infrastructure

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

8. Limitation of Liability

To the maximum extent permitted by law:

• CCT LTD's total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of profits, revenue, data, or business opportunities
• We are not responsible for damages caused by your misuse of delivered services or products

9. Confidentiality

We respect the confidentiality of your business information and will:

• Keep your confidential information secure
• Not disclose your information to third parties without your consent
• Use your information only for the purpose of providing services
• Return or destroy confidential information upon project completion if requested

10. Termination

Either party may terminate a project agreement:

• With 30 days written notice
• Immediately if the other party breaches material terms
• Immediately if the other party becomes insolvent or bankrupt

Upon termination, you must pay for all work completed and expenses incurred up to the termination date.

11. Indemnification

You agree to indemnify and hold harmless CCT LTD from any claims, damages, or expenses arising from: (a) your use of our services, (b) your breach of these Terms, (c) content or materials you provide, or (d) your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CCT LTD operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts of our jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and CCT LTD.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger or sale of assets.
